Licence Terms

These terms explain how Apparel Design Develop digital products may be used, shared and incorporated into professional work.

Scope

These Licence Terms apply to digital products, templates, Illustrator brushes, CAD assets, technical resources, guides and other downloadable materials supplied by Apparel Design Develop.

By purchasing, downloading, accessing or using a licensed product, you agree to these Licence Terms and any product-specific terms shown on the relevant product page. If product-specific terms conflict with these Licence Terms, the product-specific terms apply to that product.

Definitions

Asset
Any digital file, template, brush, CAD resource, guide, artwork or other material supplied by Apparel Design Develop.
Customer
The individual or legal entity that purchases the Asset.
End Product
A completed design, document, presentation, product specification or physical product created using an Asset.
Standard Licence
A single-user licence for the purchaser’s own professional and commercial work, subject to these terms.
Extended Licence
A separately agreed licence that may permit broader use, including multi-user, enterprise, educational, manufacturing or white-label use.

Licence grant

When you purchase an Asset, Apparel Design Develop grants you a limited, non-exclusive, non-transferable and revocable licence to use that Asset in accordance with these terms.

You are purchasing permission to use the Asset. You are not purchasing the copyright, ownership or exclusive rights in the original Asset.

Permitted use

Subject to the applicable product licence, you may:

  • use the Asset in your own personal, educational or commercial design work;
  • modify editable files for use within your own projects;
  • use the Asset to create technical flats, tech packs and product documentation;
  • use the Asset in internal business, client and production presentations;
  • use the Asset while developing products intended for commercial manufacture;
  • use completed End Products in your portfolio, subject to client confidentiality; and
  • provide a completed, flattened or otherwise non-editable End Product to a client.

Prohibited use

You must not:

  • resell, redistribute, sublicense, share, gift or transfer the original Asset;
  • upload the original Asset to a shared drive, marketplace, stock library or public repository;
  • include the original editable Asset in another template, toolkit, download or resource pack;
  • allow another person or business to extract, copy or reuse the original Asset;
  • claim ownership or authorship of the original Asset;
  • register the original Asset, or a substantially similar version, as your trade mark, design or exclusive intellectual property;
  • use the Asset in unlawful, misleading, defamatory or infringing material;
  • use the Asset to train, develop or supply a generative artificial intelligence model or dataset without written permission; or
  • circumvent any technical, access or licence restriction applied to the Asset.

Client work

A Standard Licence permits the purchaser to use eligible Assets when creating work for clients. The client may receive the completed End Product, but not the original editable Asset or a reusable version of it.

If a client needs access to the original Asset, the client must purchase its own licence or obtain an appropriate Extended Licence.

Teams, contractors and file sharing

Unless a product page expressly states otherwise, a Standard Licence is for one user only. It does not permit shared use across a team, agency, studio, classroom or organisation.

Contractors may only access an Asset where they are working directly for the licensed purchaser, access is necessary for that project, and the contractor is required to delete the Asset when the work is complete. The purchaser remains responsible for the contractor’s compliance.

Multi-user and organisation-wide use requires an Extended or Custom Licence.

Ownership and intellectual property

Apparel Design Develop retains all copyright and other intellectual property rights in the original Assets, except where third-party material is expressly identified.

Your original contribution to an End Product remains yours, but this does not transfer ownership of the underlying Asset or remove these licence restrictions.

Technical and production use

Assets are professional design tools and starting points. You remain responsible for checking all measurements, specifications, construction details, materials, tolerances, compliance requirements and production suitability before use.

Factories, suppliers and manufacturers must verify production information against the requirements of the specific product, market and manufacturing process.

Refunds and Australian Consumer Law

Because digital Assets are supplied electronically, change-of-mind refunds are generally not offered once a file has been downloaded or accessed.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law. If an Asset is faulty, materially different from its description or otherwise fails to meet an applicable consumer guarantee, please contact us so the issue can be assessed and an appropriate remedy provided.

Termination

The licence ends automatically if you breach these terms. On termination, you must stop using the Asset and delete all copies in your possession or control.

Termination does not affect rights or obligations that arose before termination, including obligations concerning ownership, prohibited use and liability.

Liability

To the maximum extent permitted by law, Apparel Design Develop is not responsible for indirect, incidental, consequential or production losses arising from the use of an Asset, including manufacturing errors, supplier decisions, lost profits, lost data or project delays.

Where liability cannot lawfully be excluded, it is limited only to the extent permitted by law. Nothing in this section limits rights that cannot legally be excluded.

Changes to these terms

These Licence Terms may be updated from time to time. The terms in effect when you purchased an Asset generally apply to that purchase unless a change is required by law or you agree to updated terms.

Governing law

These terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and any courts that may hear appeals from them.

Questions or licensing requests

Contact Apparel Design Develop before purchasing if you need team access, enterprise use, educational use, white-label rights or another use not clearly covered by the Standard Licence.
